Terms of Service

The Dataroom provides secure workspaces for managing corporate records, equity information, compliance materials, and documents. Access is by invitation, and what you can see and do is determined by the role granted to you within each company workspace.

You are responsible for maintaining the confidentiality of your credentials and for activity under your account. You agree to use the Services only for lawful purposes, to upload only content you have the right to share, and not to attempt to access workspaces or data beyond the roles granted to you, probe or disrupt the Services, or misuse invitation mechanisms.

You and the companies you act for retain all rights to content uploaded to the Dataroom. You grant NetLawyers a limited license to host, process, and display that content solely to provide the Services. Company workspace owners and administrators control membership, roles, and the content of their workspaces.

NetLawyers LLP is a law firm, but use of this website or the Dataroom does not create an attorney–client relationship, and nothing on the Services constitutes legal advice. An attorney–client relationship with NetLawyers is formed only by a signed engagement agreement.

The Services are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, NetLawyers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business, arising from use of the Services; our aggregate liability is limited to the amount you paid us for the Services in the twelve months preceding the claim.

We may suspend or terminate access for breach of these terms or to protect the Services and their users. Company workspace owners may remove members at any time; you may stop using the Services at any time.

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. If any provision is held unenforceable, the remainder remains in effect. We may update these terms from time to time; material changes will be reflected by a new effective date on this page. Questions: benedict@netlawyers.com.
